Founder Motivation: Any time a startup takes on new equity investors, existing shareholders get diluted. Down rounds are no different—founders are diluted when new cash is injected at a level or reduced valuation. If founders face too much dilution, they can lose motivation to follow through with building the startup entirely. Unmotivated founders are death to a startup.
